Terms of service

BatuaY is a B2B platform that lets your business hold operating funds, send and receive cross-border payments, manage international counterparty flows, and track transactions in one dashboard. We do not custody your funds ourselves — banking, payment-rail, custody, and stablecoin services are provided by regulated financial service providers we work with. Your relationship with those providers is governed by their own terms, which you agree to when your account is provisioned.

• Your business must be a registered legal entity in good standing.
• Each business administrator must be at least 18 years old and authorized to act on behalf of the business.
• Your business and its beneficial owners must complete the identity-verification process (KYB) and re-verify when we or our infrastructure partners ask.
• You must not be located in, or operate primarily from, a country or jurisdiction subject to US, UK, EU, or UN sanctions, or that is on our prohibited-jurisdictions list.

You are responsible for keeping your account credentials confidential and for everything that happens under your account. Notify us promptly if you suspect unauthorized access. We may suspend, restrict, or close an account at any time if we believe a user, business, or transaction violates these Terms, applicable law, or the rules of our infrastructure partners.

BatuaY charges a transaction-based fee on transfers you initiate, plus pass-through costs for the underlying rails (for example, network fees on stablecoin transfers). Currently effective fees are shown in the dashboard before you confirm any transaction. Underlying provider fees are published by those providers and are not controlled by us.

We may change our fees with prior notice to account administrators. Continued use of the service after the new fees take effect is your acceptance of them.

You agree not to use BatuaY to:

• Violate any law or regulation, or to facilitate fraud, money laundering, terrorist financing, sanctions evasion, or tax evasion.
• Interact with prohibited counterparties, including sanctioned individuals or entities.
• Engage in restricted business activities — including unlicensed financial services, gambling outside permitted jurisdictions, illegal goods or services, and other categories listed in our acceptable-use guidelines.
• Attempt to circumvent identity-verification or transaction-monitoring controls, including by misrepresenting your business, your beneficial owners, or the nature of a transaction.
• Reverse-engineer the platform, scrape it, or interfere with its operation or security.

Violations may result in suspension, account closure, return of funds, or reporting to authorities, in addition to any other rights we have under these Terms or applicable law.

Transactions you initiate from your dashboard are instructions to our infrastructure partners. Once a transaction is submitted to a payment rail or settled on-chain, it generally cannot be reversed by us. Refunds and chargebacks, where available, are handled under the rules of the relevant rail and the policies of our infrastructure partners. Always review counterparty details before confirming a transaction.

You are responsible for determining what taxes apply to your transactions and for reporting and paying them. We may be required by law to report certain information to tax authorities or other regulators — we will follow applicable rules without separate notice when required.

We work to keep BatuaY available and reliable, but we do not guarantee uninterrupted service. Maintenance windows, upstream rail outages, and force-majeure events may cause delays. We are not liable for losses caused by unavailability, except as required by law.

Each side will protect the other’s confidential information. The platform, its software, designs, and brand are owned by BatuaY or its licensors. Nothing in these Terms grants you any rights to our intellectual property beyond using the platform under these Terms.

Except where prohibited, the platform is provided “as is” without warranties of any kind, express or implied. BatuaY is not a bank, broker-dealer, or investment adviser, and nothing in the platform is financial, tax, legal, or investment advice.

To the fullest extent permitted by law, BatuaY’s total liability under these Terms is limited to the fees you paid to BatuaY in the twelve months before the claim arose. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data, even if we knew such damages were possible.

You agree to defend and indemnify BatuaY against claims, losses, and expenses arising from your use of the platform in violation of these Terms or applicable law, or from your business’s underlying activity.

You can close your account at any time from the dashboard or by contacting support. We can suspend or terminate your account if we believe you have violated these Terms or applicable law, or if our infrastructure partners ask us to. On termination, we will help you withdraw funds in line with the rules of the relevant rails. Provisions that by their nature should survive termination — including fees owed, confidentiality, IP, disclaimers, liability limits, and indemnification — will survive.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Wyoming, and each side consents to the jurisdiction of those courts. If you are based in a jurisdiction whose mandatory consumer or business protections override this clause, those protections apply.

We may update these Terms from time to time. We will post the updated Terms here and update the effective date. Material changes will be communicated to account administrators by email. Your continued use of the platform after the change takes effect is your acceptance of the new Terms.
